TERMS AND CONDITIONS

These terms and conditions (“Terms”) govern the use of services made available on or through https://www.zonicworks.com and/or the ZonicWorks mobile application (collectively, the “Platform”, and together with the services made available on or through the Platform, the “Services”). These Terms also include our privacy policy, and any guidelines, additional, or supplemental terms, policies, and disclaimers issued by us from time to time (“Supplemental Terms”). The Privacy Policy and Supplemental Terms form an integral part of these Terms. In the event of a conflict between these Terms and the Supplemental Terms with respect to applicable Services, the Supplemental Terms will prevail.
The Terms constitute a binding and enforceable legal contract between ZonicWorks, a platform operating under Collectcent Digital Media Private Ltd (“ZonicWorks”, “we”, “us”, or “our”), and you, a user of the Services, or any legal entity that books Pro Services (defined below) on behalf of end-users (“you” or “Customer”). By using the Services, you represent and warrant that you have full legal capacity and authority to agree to and bind yourself to these Terms. If you represent any other person, you confirm and represent that you have the necessary power and authority to bind such person to these Terms.
By using the Services, you agree that you have read, understood, and are bound by these Terms, as amended from time to time, and that you will comply with the requirements listed here. These Terms expressly supersede any prior written agreements with you. If you do not agree to these Terms, or comply with the requirements listed here, please do not use the Services.

1. SERVICES

(a) The Services include the provision of the Platform that enables you to arrange and schedule different home-based services with independent third-party service providers of those services (“Service Professionals”).As a part of the Services, ZonicWorks (under Collectcent Digital Media Private Ltd) facilitates the transfer of payments to Service Professionals for the services they render to you and collects payments on behalf of such Service Professionals.

(b) The services rendered by Service Professionals are referred to as “Pro Services”. The term “Services” does not include the Pro Services. ZonicWorks does not provide the Pro Services and is not responsible for their provision. Service Professionals are solely liable and responsible for the Pro Services they offer or otherwise provide through the Platform. ZonicWorks and its parent entity, Collectcent Digital Media Private Ltd, do not employ Service Professionals, nor are Service Professionals agents, contractors, or partners of ZonicWorks or Collectcent Digital Media Private Ltd.
(c) The Platform is for your personal and non-commercial use only, unless otherwise agreed upon in accordance with the terms of a separate agreement. The Platform is intended for use only within India. You agree that in the event you avail the Services or Professional Services from a legal jurisdiction other than India, you will be deemed to have accepted the ZonicWorks terms and conditions applicable to that jurisdiction.
(d) The Services are made available under various brands owned by or licensed to ZonicWorks (a part of Collectcent Digital Media Private Ltd) and its affiliates.
(e) A key part of the Services is ZonicWorks’s ability to send you text messages, electronic mails, or WhatsApp messages, including in connection with your bookings, utilization of the Services, or as part of its promotional and marketing strategies. While you may opt out of receiving these messages by contacting ZonicWorks at info@zonicworks.com or through in-Platform settings, you acknowledge that this may impact ZonicWorks’s ability to provide the Services (or part thereof).
(f) In certain instances, you may be required to furnish identification proof to avail the Services or Pro Services, and you agree to do so. Failure to comply may result in the inability to use the Services or Professional Services.

(g) ZonicWorks Credits

(i) ZonicWorks may, in its sole discretion, offer promotional codes redeemable for credits, features, or benefits related to the Services and/or Professional Services, subject to additional terms applicable to such codes (“ZonicWorks Credits”).

(ii) You agree that: (A) ZonicWorks Credits shall be used lawfully and only as specified, (B) ZonicWorks Credits may not be duplicated, sold, or transferred without prior consent, (C) ZonicWorks may disable Credits at any time without liability, (D) ZonicWorks Credits are not valid for cash, and (E) ZonicWorks Credits may expire prior to use.

(iii) ZonicWorks may, at its sole discretion, provide only certain users with ZonicWorks Credits, resulting in different amounts charged for similar services obtained by other users.

(iv) ZonicWorks reserves the right to withhold or deduct credits or benefits if ZonicWorks reasonably determines misuse, fraud, illegal use, or violation of terms.

2. ACCOUNT CREATION

(a) To avail the Services, you must create an account on the Platform (“Account”), furnishing required details, including phone number. To create an Account, you must be at least 18 years old.
(b) You warrant that all information furnished in connection with your Account is accurate and true. You agree to update your details promptly if any change occurs.
(c) You are solely responsible for maintaining the security and confidentiality of your Account and must notify ZonicWorks immediately of any unauthorized use or breach.
(d) You are liable for all activities occurring through your Account, including activities by others. ZonicWorks is not liable for unauthorized access.
(e) You agree to receive communications regarding (i) payment requests, (ii) information about ZonicWorks and Services, (iii) promotional offers, and (iv) any other matters relating to the Services

3. USER CONTENT

(a) Our Platform may allow users to post, upload, publish, display, transmit, or submit comments, reviews, suggestions, feedback, ideas, or other content (“User Content”).
(b) We may request reviews from you about Service Professionals, and Service Professionals may provide reviews about you. You must not knowingly provide false or misleading reviews. Reviews are used for quality control and determining appropriate users. ZonicWorks may cancel your registration if deemed inappropriate.
(c) You grant ZonicWorks a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free license to use, publish, display, store, host, transfer, process, communicate, distribute, make available, modify, adapt, translate, and create derivative works of the User Content in connection with Services, including for advertising or promotion.
(d) You waive any moral rights or similar rights in relation to User Content.
(e) ZonicWorks may, at its discretion, remove or restrict access to User Content violating these Terms without notice.

4. CONSENT TO USE DATA

(a) You agree that ZonicWorks may collect and use your personal data in accordance with our Privacy Policy.
(b) You consent to sharing your information with affiliates or third-party service providers for analytics, service provision, trend identification, and experience enhancement.
(c) Subject to applicable law, ZonicWorks may disclose your data to law enforcement or government bodies in connection with criminal or civil proceedings.

5. BOOKINGS

(a) Orders: The Platform allows you to request Professional Services based on available slots. You must follow Platform instructions and provide the necessary information. ZonicWorks will use reasonable efforts to find a Service Professional for the requested time.
(b) Confirmation: Booking confirmations are sent via SMS, email, or push notifications. Payments are required in accordance with these Terms.
(c) Cancellations: Bookings cancelled before confirmation are not charged. ZonicWorks’s cancellation policy applies to confirmed bookings.
(d) Substitution: If a selected Service Professional is unavailable or cancels, ZonicWorks will offer a substitute from registered Service Professionals.

6. PRICING, FEES, AND PAYMENT TERMS

(a) ZonicWorks reserves the right to charge for Services or additional facilities.

(b) Charges and Fees:

(i) Payments for Professional Services include amounts for additional services, expenses incurred by Service Professionals, or goods used (“Charges”), plus a convenience fee for ZonicWorks (“Fees”).

(ii) ZonicWorks will notify applicable Charges, Fees, and payment methods at booking. Payments may be made via credit/debit cards, net banking, wallets, UPI, or cash upon completion.

(iii) Charges and Fees may be payable at booking or upon completion.

(iv) Charges are payable to Service Professionals; ZonicWorks is a limited collection agent.

(v) All Charges and Fees include applicable taxes.

(vi) ZonicWorks may amend Charges and Fees at its discretion. Changes do not impact previously confirmed bookings.

(vii) Charges and Fees are final and non-refundable unless required by law.

(viii) Charges and Fees may increase during high demand; Users remain responsible regardless of awareness.

(c) Payment Processors: ZonicWorks may use third-party payment processors. Processing is subject to their terms. ZonicWorks is not liable for processor errors.
(d) Cancellation Fees: Applicable fees may be charged if services are cancelled prior to arrival.
(e) Subscriptions: ZonicWorks may offer subscription packages subject to additional terms.
(f) Gratuity: Tipping Service Professionals is voluntary; ZonicWorks does not provide additional payments.

7. CUSTOMER CONDUCT

(a) Discrimination against Service Professionals based on race, religion, caste, disability, gender, etc., is prohibited.
(b) Customers must provide a safe, clean, and appropriate location. Service Professionals may refuse unsafe or inappropriate environments. ZonicWorks may restrict access if behavior is discourteous, abusive, or inappropriate.
(c) Customers are liable for discrimination or failing to provide safe locations, and must disclose relevant information affecting Service Professional performance or safety.
(d) Reports of inappropriate behavior by Service Professionals must be made within 48 hours to info@zonicworks.com.

8. THIRD PARTY SERVICES

(a) The Platform may feature or provide access to third-party content, products, or services, including, but not limited to, promotional offers, advertisements, applications, or websites (“Third Party Services”). These Third Party Services are controlled solely by the third-party provider and are not owned, managed, or operated by ZonicWorks.
(b) ZonicWorks makes no representations or warranties regarding the accuracy, completeness, reliability, quality, legality, or availability of Third Party Services. Your use of Third Party Services is at your own risk. You agree to comply with the applicable terms and conditions, privacy policies, and any usage guidelines specified by third-party providers.
(c) Any interactions, transactions, or disputes with third parties, including payments, delivery of goods or services, refunds, warranties, or representations, are solely between you and the relevant third party. ZonicWorks shall not be responsible or liable for any loss, damage, or claims arising from such interactions.
(d) The inclusion of Third Party Services on or through the Platform does not constitute endorsement, sponsorship, or recommendation by ZonicWorks. ZonicWorks disclaims any and all liability related to Third Party Services.

9. YOUR RESPONSIBILITIES

(a) Accuracy of Information: You agree to provide accurate, complete, and up-to-date information at all times. Any failure to do so may result in inability to use the Services or Pro Services, or termination of your Account.

(b) User Conduct: You agree to use the Services lawfully and in accordance with these Terms, including not to:

  • Engage in discriminatory, abusive, harassing, threatening, or otherwise offensive behavior toward Service Professionals or other users.
  • Misrepresent identity, affiliation, or credentials.
  • Solicit, hire, or attempt to hire Service Professionals outside the Platform.
  • Interfere with the operation of the Platform or any user’s enjoyment of the Services.
  • Violate any applicable law, regulation, or third-party rights.

(c) User Content Warranties: By submitting User Content, you warrant and represent that:

  • You own or have all necessary rights and licenses to use the content.
  • Content does not violate the rights of any third party, including intellectual property or privacy rights.
  • Content is not unlawful, obscene, defamatory, or harmful.
  • Content does not contain viruses, malware, or other harmful code.
  • Content complies with applicable laws and regulations.
(d) Safety and Cooperation: You must provide a safe, secure, and appropriate environment for Service Professionals to perform their services and cooperate with them to ensure successful completion of bookings.
(e) Responsibility for Consequences: You acknowledge and agree that you bear full responsibility for any consequences arising from your use of the Services, Pro Services, or your User Content.

10. OUR INTELLECTUAL PROPERTY

(a) All intellectual property rights, including but not limited to trademarks, trade names, service marks, logos, designs, software, content, graphics, text, images, and audiovisual materials available on the Platform, are owned or licensed by ZonicWorks.
(b) Your use of the Services grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and content strictly in accordance with these Terms.
(c) You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, or commercially exploit any content or intellectual property from the Platform without prior written consent from ZonicWorks.
(d) Feedback, suggestions, ideas, or comments submitted to ZonicWorks regarding the Services may be used by ZonicWorks freely, without any obligation, compensation, or acknowledgment to you.

11. TERM AND TERMINATION

(a) Term: These Terms are effective from the date you accept them and remain in effect until terminated.

(b) Termination by ZonicWorks: ZonicWorks may restrict, suspend, or terminate your access to the Services, in whole or in part, immediately, without notice, for reasons including, but not limited to

  • Violation of these Terms or any applicable law;
  • Fraudulent, abusive, or unlawful conduct;
  • Behavior that compromises the safety, security, or quality of Services;
  • Regulatory or legal requirements.
(c) Termination by You: You may terminate your Account at any time by providing notice to info@zonicworks.com. Termination does not affect your obligations arising prior to termination.
(d) Effect of Termination: Upon termination:
  • Your right to access and use the Platform ends immediately;
  • All amounts owed by you remain payable;
  • Any clauses intended to survive termination, including indemnity, liability limitations, and dispute resolution, shall continue to apply.

12. DISCLAIMERS AND WARRANTIES

(a) The Services are provided on an “as-is” and “as available” basis, without warranties of any kind, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement.
(b) ZonicWorks does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
(c) ZonicWorks is not responsible for any failure, delay, or error in the performance of Pro Services by Service Professionals, including acts or omissions, negligence, or misconduct.

(d) ZonicWorks expressly disclaims all liability for any damages, losses, or claims arising out of or in connection with:

  • Use or inability to use the Services;
  • Interaction with Service Professionals;
  • Acts, omissions, or negligence of Service Professionals;
  • Unauthorized access, hacking, or theft;
  • Any loss of data, income, profits, or opportunity.
(e) To the maximum extent permitted by law, ZonicWorks’s total liability for any claims arising out of or relating to the Services or these Terms shall not exceed the total Fees actually paid by you for the relevant Services, capped at INR 10,000 per incident.
(f) Nothing in these Terms shall exclude or limit liability that cannot be excluded under applicable law.

13. INDEMNITY

(a) You agree to indemnify, defend, and hold harmless ZonicWorks and its affiliates, officers, directors, employees, agents, and representatives from and against any claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services or Pro Services.
  • Your breach of these Terms.
  • Your violation of applicable law.
  • Your submission of User Content.
  • Your interaction with Service Professionals or other users.

(b) ZonicWorks reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

14. JURISDICTION, GOVERNING LAW, AND DISPUTE RESOLUTION

(a) These Terms, and any dispute arising out of or relating to them, shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
(b) Any disputes, controversies, or claims arising out of or relating to these Terms, the Services, or the Platform shall be resolved through arbitration administered in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
(c) The seat of arbitration shall be New Delhi, India, and the proceedings shall be conducted in English.
(d) The arbitration award shall be final, binding, and enforceable in any court of competent jurisdiction. Both parties agree to bear their own costs and expenses incurred in connection with the arbitration, unless the arbitrator decides otherwise.
(e) Notwithstanding the foregoing, either party may seek interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property or proprietary rights.

15. PRIVACY AND DATA PROTECTION

(a) ZonicWorks collects, stores, processes, and uses personal information provided by Customers and Service Professionals in accordance with applicable data protection laws, including the Information Technology Act, 2000 and rules thereunder.
(b) Personal information may include, but is not limited to, name, contact information, payment details, location data, and service history (“Personal Data”).

(c) ZonicWorks uses Personal Data to:

  • Facilitate bookings and service delivery.
  • Communicate with you regarding your Account, bookings, or promotional offers.
  • Improve the Services and Platform functionality.
  • Comply with legal and regulatory obligations.
  • Prevent fraud, misuse, or illegal activities.
(d) ZonicWorks will implement reasonable technical, administrative, and physical safeguards to protect Personal Data against unauthorized access, disclosure, alteration, or destruction.
(e) You consent to ZonicWorks transferring Personal Data to affiliated entities, third-party service providers, or partners as necessary for the provision of Services.

16. MISCELLANEOUS

(a) Force Majeure: ZonicWorks shall not be liable for any delay, failure, or disruption in the provision of Services due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, power failures, government actions, or cyber-attacks.
(b) Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
(c) Waiver: Any failure or delay by ZonicWorks to exercise any right or remedy under these Terms shall not constitute a waiver of such right or remedy.
(d) Assignment: You may not assign or transfer your rights or obligations under these Terms without ZonicWorks’s prior written consent. ZonicWorks may assign or transfer its rights or obligations without restriction.
(e) Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices or guidelines referenced herein, constitute the entire agreement between you and ZonicWorks with respect to the use of the Platform and Services, superseding any prior agreements, communications, or understandings.
(f) Notices: Any legal or formal notices to ZonicWorks must be sent to info@zonicworks.com. Notices to you may be sent via email, platform notifications, or other means as determined by ZonicWorks.
